By accessing or using the ReputationSystems platform, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Services. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the platform at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

ReputationSystems provides an AI-powered online reputation management platform for businesses. Our Services include but are not limited to: multi-platform review monitoring, AI-generated review response suggestions, sentiment analysis, analytics dashboards, Growth Score metrics, automated review request campaigns, and integration with third-party tools.

We continuously improve and update our Services. We reserve the right to modify, suspend, or discontinue any feature or functionality at any time. For paid features, we will provide at least 30 days notice before removing material functionality that is part of your current subscription plan.

Our Services rely on third-party review platforms (such as Google, Yelp, TripAdvisor, and others). We do not control these platforms and are not responsible for changes in their availability, APIs, terms of service, or data access policies that may affect our Services.

To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years of age and have the legal capacity to enter into these Terms. Accounts registered by automated methods (bots) are not permitted.

You agree to notify us immediately at support@reputationsystems.ai if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or remain inactive for more than 12 consecutive months on the free plan.

ReputationSystems offers both free and paid subscription plans. Paid plans are billed monthly or annually, as selected at the time of purchase. All fees are quoted in US dollars and are exclusive of applicable taxes unless otherwise stated.

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.

We offer a 14-day free trial for new accounts on paid plans. If you do not cancel before the trial period ends, your payment method will be charged for the selected plan. No charges are made during the trial period.

Refunds are handled on a case-by-case basis. If you are dissatisfied with the Services, please contact us within 14 days of your most recent charge. We do not provide prorated refunds for partial billing periods.

We reserve the right to change pricing with at least 30 days written notice. Price changes will apply to the next billing cycle after the notice period. Annual subscribers are protected from price increases until their current annual term expires.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services to: generate fake, misleading, or fraudulent reviews; harass, abuse, or harm any person; violate any applicable law or regulation; infringe upon the intellectual property rights of others; or attempt to gain unauthorized access to any part of the Services.

You must not use the AI reply suggestions to publish content that is defamatory, discriminatory, threatening, or otherwise objectionable. You are responsible for reviewing and approving all AI-generated content before publishing it on any platform.

You may not use automated tools, scripts, or bots to access the Services, scrape data, or overload our systems without prior written authorization. API usage must comply with the rate limits and usage guidelines specified in our API documentation.

We reserve the right to investigate and take appropriate action against any violation of this Acceptable Use Policy, including suspension or termination of your account and reporting to law enforcement authorities where applicable.

The ReputationSystems platform, including all software, algorithms, AI models, designs, trademarks, trade names, and content (excluding user data), is the exclusive property of Multisystems Inc. and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms for the duration of your subscription. This license does not include the right to sublicense, resell, distribute, or create derivative works of the Services.

You may not copy, modify, reverse engineer, decompile, or disassemble any part of the Services, nor attempt to extract the source code of our software, except to the extent expressly permitted by applicable law.

Feedback, suggestions, and improvement ideas you provide to us regarding the Services may be used by us without any obligation to compensate you. By submitting feedback, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback into our Services.

You retain ownership of all data and content you upload, create, or generate through the Services ("User Content"). By using the Services, you grant us a limited license to use, store, process, and display your User Content solely as necessary to provide and improve the Services.

You represent that you have all necessary rights and permissions to use the User Content and that it does not violate any third-party rights or applicable laws. You are solely responsible for the accuracy and legality of your User Content.

We will handle your data in accordance with our Privacy Policy. You may export your data at any time through the platform export tools or by contacting support. Upon account deletion, your data will be removed as described in our Privacy Policy.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not guarantee that the Services will be uninterrupted, error-free, or secure. AI-generated content (including reply suggestions and sentiment analysis) is provided as a tool to assist your decision-making and should not be relied upon as professional, legal, or financial advice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPUTATIONSYSTEMS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. This limitation applies regardless of the theory of liability, whether based on warranty, contract, tort, or any other legal theory.

You agree to indemnify, defend, and hold harmless ReputationSystems, Multisystems Inc., and their officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

You may terminate your account at any time by contacting support or using the account deletion feature in your settings. Termination takes effect at the end of your current billing period, and you will retain access until that date.

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law. We will make reasonable efforts to notify you before or promptly after termination, except where doing so would compromise security or legal compliance.

Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue in effect.

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or the Services shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration will be conducted in San Francisco, California, in the English language. The arbitrator's decision will be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against ReputationSystems.

Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and any order forms or service agreements, constitute the entire agreement between you and ReputationSystems regarding the Services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond their reasonable control.
